To our clients and to all the users of OpenZeppelin open source tools:
• OpenZeppelin Contracts and all our open source applications and tools remain open source, free, and publicly maintained on GitHub. Building open source standards stays a core priority.
• Audits, engineering work, and ecosystem programs continue with the same team, brand, quality, and customer experience, with what will be the added benefit of S&P Global's research capacity, market data, and institutional reach. For the last decade, OpenZeppelin has set the security standard for onchain finance. The acquisition aims to enhance risk assessment capabilities related to smart contracts and onchain technology, responding to the onchainization of capital markets. Financial terms, including the acquisition amount, have not been disclosed.
Acquiring Security Technology Supporting Over $37 Trillion in Value Transfer
Founded in 2015, OpenZeppelin provides an open-source smart contract library, security assessments, and development support for blockchain projects, DeFi protocols, and financial institutions.
Smart contracts utilizing the company's technology have supported over $37 trillion (approximately ¥5,804 trillion) in value transfer and are adopted by major stablecoins and tokenized funds. Additionally, the company has handled over 900 security-related projects and discovered more than 10,000 vulnerabilities before deployment in production environments.
Yann Le Pallec, President of S&P Global Ratings, explained that providing reliable data, benchmarks, and transparent risk assessments is central to the company's digital asset strategy as the market transitions to onchain. He stated that OpenZeppelin's technology and expertise complement the risk assessment capabilities for smart contracts and onchain technology.
With this acquisition, S&P Global aims to expand its risk assessment capabilities into the risk areas of onchain technology, strengthening its response to onchain financial products.
OpenZeppelin to Continue as an Independent Division, Maintaining Open Source
After the acquisition, OpenZeppelin will continue to operate under its current name as an independent division of S&P Global. CEO Demian Brener will continue to oversee the business and report to Le Pallec.
OpenZeppelin has indicated that it will continue to provide open-source products, including OpenZeppelin Contracts for developers, free of charge after the acquisition. Existing security audits, engineering, and ecosystem-related initiatives are also expected to continue.
Brener stated that the company's technology already supports the foundations of stablecoins, tokenized funds, and DeFi protocols. He expressed that joining S&P Global would allow the technology to be offered to a broader range of organizations and institutional investors entering the onchain market.
This transaction is subject to meeting certain completion conditions, and S&P Global has stated that it will not have a significant impact on its performance.
