AsiaStrategy agreed to sell all shares of a Singapore holding company with a 7.07% stake in Astra Enterprise for 10 million dollars, transferring ownership to two insider-linked buyers while leaving 8 million dollars unpaid for up to a year. The Nasdaq-listed company signed two share purchase agreements on Aug. 15, each for 5 million dollars, covering 50% of AsiaStrategy Topwin SG, which owns 114,638,700 Astra shares. Co-CEO Jason Kin Hoi Fang owns Sora Valiant, one buyer, while Asia Empire Development shares a director with AsiaStrategy. Each buyer must pay 1 million dollars within one month and the remaining 4 million dollars within a year. Deadlines are set for 2 million dollars by Sept. 15, 2026, and 8 million dollars by Aug. 15, 2027. Payments can be made in US dollars, USDT, or Hong Kong dollars. The agreements allow closing independent of full payment, granting buyers legal ownership at closing. AsiaStrategy's filing did not confirm if transactions closed or payments were received. The sale was deemed in the best interests of the company and shareholders, citing regulatory burdens under the US Investment Company Act. No collateral or guarantees are disclosed for the deferred 8 million dollars, and no interest or special remedies for payment defaults are specified. The immediate milestones include closing before the Oct. 15 deadline and paying the first 2 million dollars by Sept. 15.
