VideoVerse Acquisition Deal Takes a Turn: Faces Forged Documents and Fraud Allegations

Originally seen as a landmark exit deal for Indian startup VideoVerse, the sale has now evolved into a series of fraud and forged document allegations. TechCrunch reports that the AI video editing software company announced in September 2025 that it would be sold to international sports media group Minute Media for $250 million, but less than a year later, the deal has been terminated, and multiple parties have since filed lawsuits in the United States.

Minute Media Terminates the Deal
Headquartered in New York and Tel Aviv, Minute Media planned to leverage VideoVerse's editing software to expand its business from the Indian market into the international sports content arena. The company told TechCrunch that it decided to terminate its partnership after discovering "significant discrepancies" in VideoVerse's statements.

VideoVerse's core product is Magnifi, an AI video editing tool that automatically identifies key players and moments in matches and generates short videos suitable for social media dissemination. The company has served clients such as the Indian Premier League, FIFA+, and Japan's NHK.

Multiple Lawsuits Target Former CEO
As the deal fell apart, investors, creditors, and former executives of the company filed lawsuits one after another. Several legal documents point to former CEO Ajay Shrivastav, alleging that he maintained the company's facade of prosperity through false statements, loan arrangements, and side deals.

Bluestone Capital, which participated in VideoVerse's 2023 financing, has sued the company for fraud, claiming it violated investment terms and refused to pay out merger proceeds. Another creditor is attempting to recover a $64 million loan, which was reportedly borrowed by Shrivastav shortly after the merger was completed.

One lawsuit also claims that Shrivastav used "fraudulent merger documents" during the acquisition process, which did not reflect the actual business terms he negotiated with Minute Media but were used to persuade shareholders to approve the deal.

$55 Million Loan Also Under Controversy
Reports indicate that in October 2025, Shrivastav arranged a $55 million structured loan with investment firm Lingotto, purportedly to repay earlier debts. Given that the publicly announced merger amount exceeded this loan by four times, the financing initially appeared low-risk.

According to court documents submitted by Lingotto, $53 million was transferred on October 1 to an account controlled by Clippings, accompanied by standard repayment arrangements. However, Lingotto now claims that key documents provided by Shrivastav are forged.

The lawsuit states that the CEO of Minute Media did not sign the relevant documents, and screenshots used to prove internal bank balances were also forged. Under the loan terms, Lingotto was supposed to receive a $4 million payment by March 31, but this payment did not arrive. Subsequently, when Lingotto demanded the full repayment of the loan and interest, it discovered that VideoVerse had a long list of outstanding debts.

Company's Fund Allocation Becomes a Controversial Focus
Before Lingotto pursued the loan, another loan from Bluestone Capital had already entered a settlement process, also facing overdue payment issues. By the end of April, Shrivastav was no longer serving as CEO.

Afterward, Minute Media, Lingotto, and Bluestone have all sought compensation in the Delaware Chancery Court. Meanwhile, VideoVerse's former COO Sabya Das has also filed a separate lawsuit, claiming the case involves secondary share sales and a confidential high-interest loan.

From the publicly available lawsuit materials, there are still inconsistencies in the parties' statements, but one common point has emerged: the company has tens of millions of dollars in funds whose whereabouts are unclear, and disputes surrounding debt ownership, fund flows, and payable amounts are expanding.
