US-listed company Bit Digital plans to increase its authorized share capital to buy more ETH

According to SEC filings, the U.S. publicly traded company Bit Digital (BTBT) disclosed that a significant shareholder meeting is scheduled for September 10, 2025, at 9:00 AM at the company's main office address (11th floor, 31 Hudson Yards, New York, New York, USA), with an option for online streaming. Shareholders can attend the meeting in person or participate via online streaming to exercise their voting rights and submit questions during the meeting. The meeting will deliberate on approving an increase in the company's authorized capital from $3.5 million (consisting of 340 million common shares, $0.01 per share; and 10 million preferred shares, $0.01 per share) to $10.1 million (consisting of 1 billion common shares, $0.01 per share; and 10 million preferred shares, $0.01 per share).
Bit Digital stated that the company plans to raise a substantial amount of additional equity financing in the near term to advance its growth strategy, particularly its Ethereum acquisition strategy. The management believes that the current authorized share capital is insufficient to meet its needs.
